1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and WhatsUpPrice (“we,” “us,” or “our”) governing your access to and use of www.whatsupprice.comand any related services, tools, or content (collectively, the “Service”).
By accessing or using the Service in any manner, you agree that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease use of the Service.
2. Eligibility — Age Requirement
The Service is available only to individuals who are 18 years of age or older (or the applicable age of majority in your jurisdiction, if higher). The Service is not intended for, and may not be used by, anyone under the age of 18.
By accessing or using the Service, you represent and warrant that:
- You are at least 18 years old;
- You have the legal capacity and authority to enter into these Terms; and
- Your use of the Service will not violate any applicable law or regulation.
If we discover or have reason to believe that you are under 18 years of age, we reserve the right to immediately terminate your access to the Service and delete any personal information associated with your use. See our Privacy Policy, Section 13 for details on how we handle minors' data.
3. Description of the Service
WhatsUpPrice is a financial information aggregation and tool platform. The Service provides:
- Near-real-time and delayed price data for US publicly traded stocks and exchange-traded funds (ETFs), sourced from Polygon.io;
- Precious metals spot price data (gold, silver, platinum, palladium), sourced from Metals-API / Goldapi.io;
- US retail fuel price data by state, sourced from the U.S. Energy Information Administration (EIA);
- Free educational financial calculators (Junk Silver, Gold Gram, Stock Return, Gold/Silver Ratio, Gas Savings); and
- Price alert notifications delivered by email upon your request.
3.1 What WhatsUpPrice Is Not
WhatsUpPrice is expressly not:
- A registered investment adviser (RIA) under the Investment Advisers Act of 1940 or any state securities law;
- A broker-dealer registered with the Financial Industry Regulatory Authority (FINRA) or the U.S. Securities and Exchange Commission (SEC);
- A commodity trading adviser or commodity pool operator;
- A licensed financial planner, tax adviser, or legal adviser; or
- Affiliated with, sponsored by, or endorsed by T. Rowe Price Group, Inc. or any other financial institution, brokerage, or investment manager.
4. Investment and Financial Disclaimer
Nothing on WhatsUpPrice constitutes investment advice, financial advice, trading advice, or any recommendation to buy, sell, hold, or otherwise trade any security, commodity, ETF, cryptocurrency, or other financial instrument.
Specifically:
- Price data, charts, historical performance, and any content labeled “forecast,” “outlook,” “prediction,” or “analysis” on the Service is based solely on historical data and publicly available third-party information. It does not guarantee or predict future performance.
- All investments involve risk, including the risk of losing some or all of your invested capital. Past performance is not indicative of future results.
- You are solely responsible for evaluating the merits and risks of any investment decision. You assume full responsibility for any decision made based on information from this Service.
- We strongly recommend that you consult with a licensed, qualified financial professional before making any investment decision.
5. Data Accuracy and Delays
Price data displayed on the Service may be delayed by up to 15 minutes or more depending on the data provider and asset class. While we make reasonable efforts to display accurate, timely data from licensed third-party providers, we make no representations or warranties, express or implied, as to:
- The accuracy, completeness, or timeliness of any price data;
- The fitness of any price data for a particular purpose, including real-time trading; or
- The continuous or error-free availability of price data or the Service.
Do not use data from this Service for real-time trading decisions. Always verify prices with your licensed broker or an official market data feed before executing any trade. Data errors, outages, and inaccuracies are inherent to third-party data services, and WhatsUpPrice is not liable for any losses arising therefrom.
6. Prohibited Uses
You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. Prohibited uses include, without limitation:
- Automated scraping or harvesting — accessing, scraping, crawling, or systematically downloading any content from the Service using bots, spiders, scrapers, or similar automated tools without our prior written consent;
- Commercial redistribution — republishing, reselling, sublicensing, or commercially exploiting any price data or content from the Service without prior written authorization from us and applicable data providers;
- Reverse engineering — decompiling, disassembling, or otherwise attempting to derive source code, trade secrets, or algorithms from the Service;
- Security attacks — attempting unauthorized access to any portion of the Service; conducting denial-of- service attacks; injecting malicious code, SQL injection, cross-site scripting, or otherwise compromising Service security;
- Abuse of alert system — submitting false email addresses, using the alert system for spam, or circumventing rate limits;
- Illegal financial activity — using the Service in connection with market manipulation, insider trading, securities fraud, money laundering, or any other unlawful financial activity; or
- Impersonation or harmful content — impersonating WhatsUpPrice, our partners, or any other person or entity; or uploading or transmitting viruses or other malicious code.
We reserve the right to investigate violations and take appropriate legal action, including reporting to relevant law enforcement authorities.
7. Calculator Tools
The financial calculators available on the Service (including but not limited to the Junk Silver Calculator, Gold Gram Calculator, Stock Return Calculator, Gold/Silver Ratio Calculator, and Gas Savings Calculator) are provided for educational and convenience purposes only.
Calculator outputs:
- Do not constitute financial, tax, investment, or legal advice;
- Are estimates based on the inputs you provide and live, near-real-time, or mock price data, and may contain errors; and
- Should not be relied upon for any actual financial transaction.
All calculations are performed in your browser. No calculation inputs or results are transmitted to or stored on our servers.
8. Affiliate and Advertising Disclosure
WhatsUpPrice participates in affiliate marketing programs in compliance with the Federal Trade Commission's guidelines on endorsements and testimonials (16 C.F.R. Part 255). Some links on this Site are affiliate links — if you click one and make a purchase or open an account, we may receive a commission at no additional cost to you. All affiliate links are labeled “Affiliate Link” or “Sponsored” where they appear. The presence of an affiliate relationship does not affect our editorial independence; we only recommend services we believe offer genuine value.
We also display third-party advertisements through Google AdSense and/or Mediavine (when active). These advertising networks may use cookies and device identifiers to serve personalized or contextual advertisements. WhatsUpPrice does not control third-party advertisement content and is not responsible for advertiser claims. For advertising opt-out options, see Privacy Policy, Section 7.2.
9. Intellectual Property
The WhatsUpPrice brand, name, logo, website design, layout, original editorial content, and software code are owned by WhatsUpPrice and protected by applicable intellectual property laws, including copyright and trademark law.
Price data displayed on the Service is licensed from third-party providers (Polygon.io, Metals-API, Goldapi.io, EIA) and is subject to their respective terms. You may not:
- Scrape, harvest, cache, or mass-download price data from the Service;
- Republish, resell, or commercially exploit any price data or Service content without prior written consent from us and all applicable data providers; or
- Remove or alter any copyright, trademark, or proprietary notices from Service content.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes only.
10. Third-Party Links
The Service may contain links to external websites or services not owned or controlled by WhatsUpPrice. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party site. We encourage you to review the terms and privacy policies of any third-party site before interacting with it. The inclusion of a link does not imply endorsement by WhatsUpPrice.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WHATSUPPRICE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- WARRANTIES AS TO THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY PRICE DATA OR INFORMATION ON THE SERVICE; AND
- WARRANTIES THAT RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
Some jurisdictions do not allow exclusion of implied warranties, so the above may not apply to you in full. In such cases, implied warranties are limited to the minimum scope and duration permitted by applicable law.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WHATSUPPRICE, ITS OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
- TRADING LOSSES, INVESTMENT LOSSES, OR ANY FINANCIAL HARM RESULTING FROM RELIANCE ON PRICE DATA OR CONTENT ON THE SERVICE;
- DAMAGES FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR
- DAMAGES FROM ANY INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICE.
IN NO EVENT SHALL WHATSUPPRICE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO WHATSUPPRICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (IF ANY), OR (B) ONE HUNDRED US DOLLARS (USD $100.00).
Some jurisdictions do not allow exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
13. Indemnification
You agree to defend, indemnify, and hold harmless WhatsUpPrice and its operators, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms;
- Your use or misuse of the Service;
- Your violation of any applicable law or regulation;
- Your violation of any third party's rights; or
- Any content you submit or transmit through the Service.
14. Dispute Resolution and Binding Arbitration
14.1 Informal Resolution (Required First Step)
Before filing any formal legal claim against WhatsUpPrice, you agree to first attempt to resolve the dispute informally by contacting us at legal@whatsupprice.com with a written description of the dispute, the relief sought, and your contact information. We will make good-faith efforts to resolve the dispute within 30 days of receiving your written notice. Neither party may commence formal proceedings until the 30-day period has expired.
14.2 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including questions of arbitrability — shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (as in effect at the time arbitration is commenced), except as otherwise provided herein. The arbitration shall be conducted in Wilmington, Delaware, or, at your election, by telephone or videoconference. The arbitrator shall apply the laws of the State of Delaware. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.3 Exceptions to Arbitration
Notwithstanding Section 14.2, either party may bring an individual action in small claims court if the dispute qualifies. Either party may also seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights pending arbitration.
15. Class Action and Collective Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WHATSUPPRICE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.
The arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding. If this specific provision is found unenforceable, then the entirety of Section 14.2 (Binding Arbitration) shall be null and void.
16. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or relating to them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.
For any claims not subject to arbitration, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Wilmington, Delaware. If you are a consumer in a jurisdiction whose laws do not allow a choice-of-law clause to override local mandatory consumer protection laws, those local laws will apply to the extent required.
17. Service Availability and Modifications
WhatsUpPrice reserves the right, in its sole discretion and without prior notice, to:
- Modify, suspend, or discontinue the Service (or any part thereof), temporarily or permanently;
- Impose limits on features or restrict access to all or part of the Service; or
- Change data providers, remove price data for specific assets, or add or remove features.
WhatsUpPrice shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
18. Miscellaneous
18.1 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable. The remaining provisions shall continue in full force and effect.
18.2 No Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver shall be effective only if in writing and signed by an authorized representative of WhatsUpPrice.
18.3 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and WhatsUpPrice regarding use of the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, relating to the subject matter hereof.
18.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations without restriction.
18.5 Force Majeure
WhatsUpPrice shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, government actions, third-party service outages, or internet infrastructure failures.
19. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will:
- Update the “Last Updated” date at the top of this page;
- Notify price alert subscribers by email at least 15 days before the revised Terms become effective; and
- Post a notice on the Site.
Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must discontinue use of the Service.
